FOB Free on board (……指定装运港) “船上交货 (……指定装运港) ”是当货物在指定的装运港的船上, 卖方即完成交货。这意味着买方必须从该点起承当货物灭失或损坏的一切风险。
CFR, 全称Cost and Freight, 指在装运港船上交货, 卖方需支付将货物运至指定目的地港所需的费用。但货物的风险是在装运港船上交货时转移。
CIF, 全称Cost, Insurance and Freight (insert named port of destination成本加保险费加运费, (指定目的港, 其原文为) 按此术语成交, 货价的构成因素中包括从装运港至约定目的地港的通常运费和约定的保险费。
FCA (free carrier) 是“货交承运人 (指定地点) , 是指卖方只要将货物在指定的地点交给买方指定的承运人, 并办理了出口清关手续, 即完成交货。
CPT carriage paid to ... (… named place of destination) 的缩写形式, 意为运费付至..... (……指定目的地) , 是指卖方向其指定的承运人交货, 但卖方还必须支付将货物运至目的地的运费。即买方承担交货之后一切风险和其他费用。
CIP (carriage and insurance paid to ) 是指卖方向其指定的承运人交货, 期间卖方必须支付将货物运至目的地的运费, 并办理买方货物在运输途中灭失或损坏风险的保险, 亦即买方承担卖方交货之后的一切风险和额外费用。
根据贸易术语之间的关联关系, 我们将以上六种术语分为两组:第一组为FOB CFR CIF;第二组为FCA CPT CIP。现对两组术语之间的关系分析如下:
二、两组贸易术语相同点
(一) FOB、CFR、CIF从产生至今一直为外贸企业所使用
作为常用一组术语, 我们对其分析有利于我们更好的理解和掌握。他们具有如下共同点:
1、适用运输方式相同:都适合于水上运输;
2、风险划分的界限相同。即使是CIF负责了保险的费用, 但是风险转移都是以装运港船上为界。也就是说货物上了船, 就没卖方什么事情了。
3、所签署合同性质相同:装运合同, 货物都是在出口国所在地的装运港交货。;
4、进出口请关手续责任方相同:卖方—出口清关, 买方—进口清关;
5、提供这种运输单据相同:都是海运提单。
(二) FCA 、CPT、CIP本组贸易术语的共同点如下:
1、适用运输方式相同:各种运输方式;
2、风险划分界限相同:货交第一承运人;
3、合同性质相同:都是装运合同
4、进出口手续的责任方相同:卖方—出口清关, 买方—进口清关
5、提供这种运输单据的性质相同, 都是多式联运单据。
经过对比之后发现, 这两组贸易术语的相同点竟是如此的相似。现已图表的形式总结如图1:
在实践教学中, 我们经常会遇到这样的问题:“比较FOB、CFR、CIF这三个贸易术语就风险而言, 哪一个对买方更有利”, 通过上述分析, 我们知道他们风险划分的界限都是在装运港的船上, 所以, 就风险而言, FOB=CFR=CIF 。而很多同学的回答会是CIF风险最大, 实际上是大家将风险和费用混淆了。那他们之间费用的关系是怎样的呢?
三、两组贸易术语费用构成比较
既然FOB、CFR、CIF有如上述的共同点, 那么他们的区别在何处呢?
就费用的构成而言, 在FOB术语基础上, 若卖方再增加一部分义务——承担货物到目的港运费, 该术语就变为了CFR。在CFR基础上, 卖方再承担货物到目的港的保险费, 则该术语就变成了CIF。至于FCA、CPT、CIP之间的关系, 也是如此。如图2所示:
四、对应术语之间的巧妙关系
随着国际运输行业的迅速发展, 特别是内陆国家参与世界贸易程度的不断提高, 仅适合水上运输术语已不能满足人们对运输方式多元化的需求, 人们势必会寻找一种如之相似贸易术语。将我们经常用的贸易术语, 一一对应的进行替代。即FCA对应FOB, CPT对应CFR, CIP对应CIF。现对应术语之间的关系分析如下:
FCA与FOB同属F组术语, 具有F组术语的共同点,
(1) 运输承担责任方相同。
(2) 合同性质相同都是装运合同, 象征性交货。
(3) 进出口清关手续责任方相同。
这两个贸易术语的本质区别在与运输方式不同, 由于运输方式不同, 导致了风险划分界限和运输单据的不同。由于FCA术语下, 卖方可以未到装运港之前的路上, 把货物交给买方指定的承运人, 即完成交货义务。因此, 与FOB术语相比, 使用FCA术语卖方可以及早的转移风险, 较早的取得运输单据, 较早的交单, 及早得结汇, 这样有利于卖方资金周转, 对卖方来说是极为有利的。
CFR与CPT、CIF与CIP之间的本质区别也在于适用的运输方式, 决定了风险划分界限和运输单据的不同, FCA与FOB相比的优越性也同样适用于CFR与CPT、CIF与CIP。

五、结论
贸易术语之间本身就有着千丝万缕的联系, 买卖双方的责任、义务重叠部分有很多。初学者经常将其混淆, 然而在实践中, 贸易术语的使用频率有很高。本文将贸易术语进行了纵横两方面的比较, 通过图标的形式将贸易术语之间的关系, 从他们相同点、不同点和费用的构成方面进行表述, 希望给初学者在贸易术语的理解方面提供一定的帮助。
